This Web site is owned and operated by Anson Industries, Inc. or one of its affiliates or subsidiaries (including the Anning-Johnson Company) (collectively “Anson” “we,” “us” or “our”). By accessing this Web site, you acknowledge and agree to accept the following: (i) these Terms and Conditions of Use (“Terms”), which constitute a legal agreement between you and Anson; (ii) the Web site privacy policy (the “Privacy Policy”); and (iii) any other legal notices, conditions or guidelines located within the Site (defined below). If you do not agree to any of these Terms or the Privacy Policy, please do not use the Site and exit now. In addition, you may agree to these Terms through an express acknowledgement when registering or logging in to access certain features of the Site. These Terms apply to any Web site or application (as well as any features, widgets, plug-ins, content, downloads or other services) that are offered by Anson and that post a link to these Terms (collectively, the “Site”). Anson Trademarks
Anson trade names, trademarks, service marks, logos, domain names, all page headers, graphics, images, symbols, and other Anson marks found at the Site, including Anning-Johnson and the AJ logo, are the proprietary property of Anson (collectively the “Marks”). Use of the Marks is strictly prohibited without the prior written consent of Anson.
Third-Party Trademarks
The trademarks of third parties may also appear on the Site from time to time. You may not use these trademarks without prior written permission of their respective owners. You acknowledge and agree that nothing on the Site grants, expressly or implicitly, by estoppel or otherwise, any right or license to use any of these trademarks, nor may anything be construed to mean that Anson has authority to grant any right or license on behalf of any third-party trademark owner.
Restrictions, Limitations and Conditions of Use
Any unauthorized use of the Site, Site Content, Marks or third party trademarks for any purpose is prohibited. We may suspend or terminate the availability or your use of the Site (and any elements or features of it), in whole or in part, for any reason, and at any time, in our sole discretion, and without advance notice or liability.
You agree that you will not: (i) use our Site for any political or commercial purpose, aside from the purchase of goods or services if such are offered for sale through the Site by Anson; (ii) engage in any activities through or in connection with our Site that attempt to or actually do harm any individuals or entities or are unlawful, offensive or abusive, or that violate any right of any third party, or are otherwise objectionable to Anson; (iii) reverse engineer, decompile, disassemble, reverse assemble or modify any Site source or object code or any software or other products, services or processes accessible through any portion of our Site; (iv) engage in any activity that interferes with another user’s access to our Site or the proper operation of our Site, or otherwise causes harm to our Site, Anson or other users; (v) use Site Content in a manner that suggests an unauthorized association with any of our products, services brands or Marks; (vi) interfere with or circumvent any security or access feature of our Site; or (vii) otherwise violate these Terms.
You hereby represent and warrant that the personal information you provide to Anson (including information provided when you contact us or use other features of the Site) (collectively, your “Personal Information”), is true, accurate, current, and complete. You also hereby agree that you will ensure that this Personal Information is kept accurate and up-to-date at all times.
Anson has no obligation to monitor your interaction with the Site, but reserves the right to review or monitor the Site and any user submissions, if applicable, in its sole discretion.
Registration and Registration Information
In order to access certain features of the Site, you may be required to complete a registration process (including express acceptance of these Terms during such registration process) and meet the requirements imposed by Anson for such registration. Anson reserves the right to refuse registration of or deactivate the account of anyone at any time, in its sole discretion. When you register, you will be required to provide additional information and data about yourself and you may be required to upload copies of documents or other materials, the details of which shall be determined by the input requirements of the Site functionality from time to time. Your linking to these Linked Sites is at your own risk. None of the Anson Parties will be liable to you under any cause of action, for any direct, indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits or business interruption.
Ability to Accept Terms
You affirm that you are the age of majority in your jurisdiction and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms. Indemnification
You agree to defend, indemnify and hold harmless Anson, its affiliates, subsidiaries, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including but not limited to any use of the Site Content, Marks, services and products, other than as expressly authorized in these Terms.
Choice of Law and Forum
These Terms will be governed by and construed in accordance with the laws of the State of Illinois without giving effect to any principles of conflicts of law. All disputes arising under, or in any way connected with use of the Site, shall be litigated exclusively in the state and federal courts residing in the State of Illinois and in no other court or jurisdiction. You hereby submit to the jurisdiction of the state and federal courts sitting in Chicago, Illinois.
Severability and Enforceability
If any provision or portion of these Terms is held to be illegal, invalid, or unenforceable, in whole or in part, it shall be modified to the minimum extent necessary to correct any deficiencies or replaced with a provision that is as close as is legally permissible to the provision found invalid or unenforceable and shall not affect the legality, validity or enforceability of any other provisions or portions of these Terms.
Termination/Exclusion
We reserve the right, in our sole discretion, to revoke, terminate or suspend any and all privileges associated with accessing the Site for any reason or for no reason whatsoever including improper use of the Site or failure to comply with these Terms, and to take any other action we deem appropriate.
User Suggestions
The Site may permit you to provide us with questions, comments, suggestions or feedback. Assignment
